We deal with such things in our agency (advertising agency) sometimes we outsource translation to such companies and oh boy the results we get, some of them just paste in the text we provide them into an automated translator online, which makes it look like a robot-translation…. bah.. and people buy and use these things!

I. Land Register
The land register is given from the document, added as addendum 1; the incorporated financial burden is given in the addendum 2 of this document. Addendum 1 and 2 are refered to. The addenda 1 and 2 are incorporated into this document and were read out by the notary public.
For the property, Fl. Nr. 17001/6 a construction of a condominium facility with about 91 condominiums and a collective underground parking area was planned in several construction stages.
The construction stage for the hereafter mentioned co-onership share has not been started up to date. So far only the underground parking has been constructed.
The property is, according to all parties present, located in Rosa-Luxemburg- Strasse 90, 92, in Zwickau.
The public notary has not seen the relevant land charges register.

II Sale
1. The company DEARA Deutsch-Arabische Gesellschaft für Immobilienverwertung, Vermögensverwaltung nd Technologietransfer mbH

is selling with this act the co-ownership share, defined in the addendum 1 of this document, together with the so called individual ownership, including all rights, especially the special use permits, legal constituent parts and accessory

III Purchase Price
1. The purchase price is in total € 10,000.—

2. The purchase price is to be paid without interest within 2 weeks of the following requirements:
a) entry of the priority notice of conveyance of acquirer into the land register;
b) presentation of necessary releases of encumbrances for all encumbrances recorded before or with registering of caution, except the encumbrance mentioned in this document, explicitly taken over by the acquirer.
c) Grant of possibly necessary official permits

Grant of negative clearancesor a declaration of waiver of pre-emption concerning possible legal pre-emptions
The notary public has been assigned to explain the taking effect of the requirements for the maturity date and if applicable explain the conditions of the release of encumbrances.
3. If the purchase price – due date according to paragraph 2 assumed- is not paid within 14 days after the notification by the norary public, the acquirer will get into arrears without monition. The notary has informed that the legal default interest is 5 percent points per annum above the prime lending rate.
4. Because of the entered commitment of payment the acquirer is subject to immediate foreclosure from this document with his entire assets. Enforced execution can be issued with a the letter of notification from the notary public, without any other causal facts confirming the enforcability necessary.
A reversal of burden of proof is not incorporated.
IV Take over of land charges
1. The acquirer takes over the land charges, ceded to the BAG Bankaktiengesellschaft in Hamm, according to addendum 2, as well as the land charges for the Raiffeisenbank Zomeding eG, Zomeding, in the amount of 1,000,000.—DM for future liability in rem.
2. The acquirer declares that he already acquired the loan claims underlying the land charges as well as the land charges themselves from the creditors and that the corresponding acts of assignment are at hand. Only the assignation in the land registry has not been done yet, due to monetary reasons.

As far as the vendor accrued or will acrue until the registration of change of ownership in the land register any right of ownership or other entitlements, especially a claim to restitution will be conveyed to the acquirer, pending the payment of the purchase price, definitely with the change of ownership in the land register and the change of ownership in the land register will be accorded
V. Admittance into owner community
1. Item and contents of the individual propert were specified in the partition deed of 12.22.1994, reference no 5000/1994, including endorsements from 07.27.1995 and 09.21.1995, reference nos 2585/1995 and 3288/1995 of norary public Dr. Peter Gassner, office residence Munich
- hereafter named partition deed –
The partition deed explains the extensivness of the common property; this partition deed also contains the regulations concerning the community of owners, which regulate the legal relationship of ownership and partial ownership of the condomiium between the owners and between owner and administration of the condominium.
The vendor has given a copy of the partition deed to the acquirer.
The acquirer recognizes the regulations concerning the community of owners from the partition deed as well as the constraints and commitments of the condominium owners law as binding for himself and will enter into the commitments and constraints.
The acquirer enjoins himself to transfer these obligations to his legal successor
The notary public has informed that the rights and obligations of the owners can also result from the decisions made by the condominium owner’s meetings.
To sell the property a consent of the condominium administration is not necessary.

3. The property is to be handed over as delivery versus payment of purchase price. Benefits and encumbrances are taken over by the acquirer with effect of the change of ownership.
This is also true for the obligation to contribute to the common encumbrances and costs of the property and its common rooms and facilities.
The acquirer obliges himself to pay the running costs of his acquired property, accorded to him proportionally in the partition deed, to the administrator.
For running costs to be paid extending the contract the administrater should go to the vendor until the day of change of ownership and after that day to the acquirer to account for it.
In case an interim bill was not issued by the administrator, the running costs will be divided pro rata temporis, according to the change of ownership between vendor and acquirer except for costs that can be read from meters at interim readings on occasion of change of ownership.
The vendor gives authority to the acquirer to take part in the owner’s meetings and gives him the power to use the right of vote in his name..
4. The vendor is obliged to give the sold property to the acquirer free of any rights of a third party, especially free of right of use or tenancy, as well as free of encumbrance of construction and also to procure the property, as long as the right of a third party was not taken over by this contract.
In section II of the land register limited personal subservience to the waterworks at Zwickau (Wasserwerke Zwickau GmbH) are mentioned. This subservience is taken over by the acquirer, including all underlying commitments with all rights and obligations.

4. The agreed property, in terms of § 434, clause 1, 1 BGB, is todays condition of subject of contract with all its possible – even hidden- mistakes.
It is known to the acquirer that the co-ownership share described in detail in addendum 1 is not yet built, except for the underground parking space. So far, individual property has not yet been constructed. Double parking has been built without technical lifting device.
The vendor is only obliged to give the subject of this contract in the here described condition. There are no further obligations concerning the propety by the vendor.
Rights by the acquirer about defects as to quality of the subject of the contract are excluded, with exception of the agreements and guarantees agreed to.
A guarantee in the terms of § 443 BGB is not taken over by the vendor, as far as not regulated differently in this document.
But the verndor declares that he has no knowledge of any defects of quality, as far as visible to a visitation of the site, without specific knowledge.
The notary public has informed the vendor of the obligation of disclosure and the legal consequences in case of violation.
Not touched by the present regulations is the liability for intended damages or damages caused by wanton negligence or by damages causing injury of life, body or health, that are due to neglect of duty on the side of the vendor. An intended or negligent duty of the vendor is equal to that of his legal representative or vicarious agent.

VI. Further Regulations
1. Even in case some parts of this contract should be or become invalid, the remaining parts of the contract are binding and not concerned by this.
2. The entitlement of transfer of ownership prescribes in the same period of time as the enforcable claim to payment of purchase price, at latest though after 30 years after the beginning of the presciption period.
VII. Conveyance of Property and Priority Notice of Conveyance
1. All parties of the contract agree that the property described in detail in addendum 1 devolves to the acquirer (conveyance of property)
This unconditional agreement contains no authorisation of registration nor an application of registration.
All parties are giving unrevocable and unconditional authorisation to the notarizing notary public, his representative or successor according to §15 GBO to declare the authorisation to register the change of property into the land register for themselves and their heirs.
The notary public may give the authorisation only after all permissions and declarations of agreement have been presented and either the vendor confirmed the receipt of the price of purchase or the acquirer has proven the payment of the price of purchase.

The acquirer applies to give into the hand of the notarising notary public together with the notice of registration a complete unnotarised copy of the land registry, concerning the subject of this contract.
3. The acquirer applies already today the cancellation of this priority notice versus the registration of the conveyance of property under the condition that no interim registration has been done without him being present.
4. A notice of execution for the concerned parties and the notary public is asked for in care of the notarising notary public.
5. Liquidation and partial liquidations of all kind, even if they exceed the exemption of encumbrances is agreed on with the application of execution in the land registry.
VIII. Hints and Instructions
1. All agreements must be given complete and correct, as otherwise this document can be invalidated.
2. The property is not conveyed by the documentation, but only with the change of ownership in the land register. For this also a tax clearance certificate will be necessary.
In the land register for partial property in Zwickau, page 8231 (referral to individual property of underground parking lot no 23) a remark of foreclosure sale is given.
According to § 23 ZVG denotes the foreclosure remark the confiscation of the property and has the effect of a relative prohibition of sale to protect the foreclosure creditor. A decree concerning the property or other foreclosed items of the property owner violating the prohibition of sale is ineffective vis-a-vis the foreclosure creditor.,§§ 135, clause 1, 136 BGB. A well intended foreclosure free acquisiton is in lieu of this remark relatively ineffective.

Mr. Kaffka explained concerning this point, that the application for a foreclosure sale has been retracted and by mistake the remark had not been removed from the land register.
3. It is possible that the subject of contract is subject to a legal pre-emption right according to the monument conservation law, the nature conversation law and the water law; for this all parties asked the notary public to inquire at the relevant authorities.
4. The property and with that the owner registered in the land register is liable for any public encumbrances, including residual encumbrances, independent of a regulation in this contract.
5. All parties of this contract are jointly and severally liable for cost and traffic taxation.
6. The notary public did not explain about fiscal effects of the contract.
IX. Authorisation and Execution
All parties ask the present notary public and authorise him, his representative or successor in office to:
1. represent them unconditional in the procedures of the land registry
2. apply for and later receive (according to §875 clause 2 BGB) all permissions and declarations necessary for this document.
But refutable rulings and interim rulings concerning the extension of time are to be sent to the parties themselves; a copy for the notary public is requested.
All parties authorise the staff of this notary public – then authorised to be chosen by the notary public- single and freed of §181 BGB, to declare, authorise and make applications of material jurisdictional and formal jurisdictional kind to add or change the contract, as far as it is useful to remove a problem of magisterial or jurisdictional kind.
